Technology contracts: knowing who answers when things go wrong

A contract serves on the day something goes wrong: an outage, an unpaid invoice, a provider who keeps the code, an AI that gets it wrong. I write your terms and conditions, your SaaS contracts and your licences for that day, and I review the ones put to you.

Why it matters

The terms and conditions of a SaaS decide everything that matters in a dispute: the service level, liability, reversibility of the data, the governing law. Copying those of a competitor amounts to describing their business.

Between businesses, unfair terms have been prohibited since 1 December 2020 (articles VI.91/1 and following of the Code of Economic Law). Book 5 of the Civil Code rewrote contract law on 1 January 2023. A badly calibrated limitation of liability clause falls. The clause that stands must have been negotiated.

My view on AI contracts: the AI Act does not say who pays when an agent gets it wrong. The revised Product Liability Directive (2024/2853) only applies to products placed on the market after 9 December 2026. Until then, the answer is in your contract: autonomy, supervision, logging, cap.

Typical situations

  • A SaaS publisher selling to a bank with its consumer terms and conditions

The client's security questionnaire and processing agreement would replace its terms; without a written service level commitment, it would negotiate blind.

  • An agency integrating an AI tool at a client without a scope clause

If the tool took a wrong decision, liability would be argued under the general law, cap included; a supervision and logging clause would have set the rule.

  • A distributor signing an exclusivity without sales targets

It could be tied for years to a supplier that does not deliver; the targets clause and the exit are negotiated beforehand.

  • A freelance IT professional signing a two-year non-compete without consideration

They would need to have it limited in time, space and subject matter, or have it paid for.

  • A Belgian franchisor opening a first outlet in Casablanca

The master franchise agreement, the trade mark filing at the OMPIC and the Moroccan commercial lease are handled together, before signing with the franchisee.
